Waching daily Jan 6 2018

To say that 2017 was a bad year for the American public would be a very gross understatement,

at this point.

Right at the end of the year, the Republicans decided to pass their disastrous tax cut package,

which cuts a lot of social programs for needy Americans in order to give the millionaires,

and billionaires in this country, a $1.5 trillion tax cut.

Republicans, the Republicans who supported this legislation, which is almost all of them

in Washington D.C., sold you out.

They sold out the entire American public, because they know this is going to create

a diaster for the economy.

It's probably going to lead us into a recession, because tax cuts like this have led us into

recessions every single time they've ever happened, but they did it.

Even knowing that you're going to lose your health insurance, you're going to lose your

Medicaid, they're going to cut back on Medicare, you could even lose your social security at

this point based on their current plans, but again, they did it because they wanted to

give their donors a tax break.

They sold you out for campaign money.

This year, we're in 2018 now, and we all know what happens in 2018, we have mid-term elections

in November.

So, we're 10 months away from being able to send Republicans a message, and that message

is, "You sold us out, because you feared your donors, or more importantly, you feared Donald

Trump more than you feared your voters, the people who put you in office in the first

place.

We control your future, we control your destiny, yet you decided to bow down at the altar of

Trump, at the altar of big money, because you were more afraid of what he would do to

you than what the voters would do to you at the voting booth."

This year, in 10 months, we have the opportunity to show them that they made the wrong decision.

We have the opportunity to show them that we're more powerful than the people who write

the checks, and we are.

If you think that we're not, then you're part of the problem.

If we show up in the numbers, we can change things in this country, we just saw it happen

in the state of Alabama.

Do you know why Doug Jones won?

It wasn't because Roy Moore got busted for diddling kids, it's because people showed

up.

Specifically, African American women, they swayed that election, because they got out

there.

If we do that again, and even the most gerrymander parts of this country, we could still make

a difference, and send a message to those idiotic, cowardly Republicans who sold us

all out, and tell them one more time, "We are the powerful people in this country.

It's not the people who write your checks, it's not that little orange Cheeto sitting

in the Oval Office, it is us.

It is the people on the street, the people who go to work every day, the people who are

out there busting our asses to make life livable for the rest of you.

We're the ones who hold the power."

Gerda Steiner Valentine Penguins - Prismacolor Pencils Real Time Colouring! - Duration: 8:59.

hi it's Therese from Lostinpaper and I'm back with my second video today sharing

a card made as guest designer for Gerda Steiner designs using the

Valentine penguins stamp set I've actually already done a video showing

how I coloured this set of images I've stamped and masked them out this cute

little penguins in the same scene and in the first video I actually colored them

with Copic markers on some white cardstock this time I'm coloring the

same images but with some prismacolor pencils and I have changed it up a

little bit I did stamp these images out with onyx black ink because I'm coloring

with prismacolor pencils and they work really well with this black ink and it's

a nice fast drying pigment ink and it's good on colored card stock or card stock

that's not perfectly even so if you had a close look at this card stock or at

this card if you have a look in the pictures at the end or even head over to

my blog the link will be below you'll see that there is a slight texture to

the card stock it's an American crafts, and I've forgotten the

name it's a really really pale blue card stock so I am working on the smooth side

but but even the smooth side has like a slight texture so I am kind of having to

work the pencils into the grooves a little bit well though I'm not pressing

hard because once you filled the tooth of the cardstock it won't accept anymore

pencils so then I will just pill up and be a pain in the neck anyway I did colour

the Penguins in the similar color as I did to the other card and then because

it's on the blue cardstock I did decide to come in and use the white pencil on

the actual body of the penguins the thing also with prismacolor pencils

is they do cause a bloom and when you stamped an image sometimes it will kind

of cover over the edges or the eyes if you accidentally cover up color over

them and a way to get around that which I do do a little bit later on I'm not

sure don't if I shared it in the video so just come back with either a black

multi liner or in this case I actually used a black pencil just to redraw the

eyes and the eyebrows things like that that got might have got lost a little

bit of definition I'm having trouble speaking okay I don't like to use gamsol

or any blending agents on colored cardstock I don't I don't tend to find

that they work really well I usually just use the pencils to blend with each

other so I usually go back and forth with my pencils just using them lightly

and add the color that way just in case you haven't noticed I have got a little

piece of cardstock off to the side it's the same color that I'm working on and

what I'm doing here is actually testing my colors before I add them because they

do react differently than if I was just using them on white cardstock so it's a

good idea just to test your pencils off off to the side on the same color

cardstock I'm keeping a nice sharp pencil as well just so I can try not to

end up with any bloom or too much bloom over the edges of these images I will

list all the colors that I've used today over at my blog and I'm also going to

link below this video to the other video that I created you using this same set

of images but colouring them with copics

now I did kind of color this balloon in a real sort of pale blue and white color

I don't know in retrospect I was kind of thinking maybe a nice bright pink

balloon might have looked nicer or stood out a bit more so I'm not sure if you

notice at the end of the video I did make this balloon a little bit of a bit

brighter blue but it's still a fairly light balloon but if I was to remake

this card I probably would do it in a nice bright pink I'm thinking I've got

my copic multiliner out and I'm actually drawing kind of a rough ground here with

some stones it's not complicated it really is just squiggles and circles and

that just rounds my images I just use some of the cooler grays to actually add

some grave to that base as well and I want this to be a little sort of a

surprise card and like a party card so this is where it's changing up from the

other card as well I decided to add some bits of confetti and just chosen some

nice bright colors that worked really well on the blue card stock and just

hand drawing lots of confetti and streamers and dots and such all over

that is on making sure that I draw some over the images as well and that's

probably why I really couldn't come in and color that balloon in at the end

because I had drawn some of the streamers over top of that and I didn't

want to sort of muck those up by because they're not blended I just thought well

it would be easy to leave it as it is, but if I did do it again it would be hot pink

decision is made

Gerda Steiner really has some of the most cute critters and they're really

really easy images to color and fun to put together on

cards I've used heaps heaps of the critters over the last 12 months in

particular and every time I call them up it just makes me smile and especially

when it's a nice little party scene like this oh I'm not sure if you noticed but

on the ground there where I drew the confetti and streamers I did draw them

on the side like they were lying down whereas the ones in the sky was sort of

straight up and down like they were floating and of course these hearts did

make a pink like I really like how this color turned out on the actual blue

cardstock and you know maybe I could have actually just restamped the

balloon and adhered over top that's another way if you do make a mistake

while you're not happy with something that's a really easy way of fixing it

now I've made this a landscape card as well and just use some ATG behind the

panel and just attaching that to the it's a top fold landscape and I thought

it'd be fun to add some Prisma glitter which is a really fine

glitter so I've got my quickie glue pen and adding some small dots all over the

front of the card where the confetti is and where the Penguins are as well I

thought it'd be heaps of fun the thing with the Prisma glitter is it's very

clingy so what I like to do is actually wait for it to dry and then I just use

like a really soft paintbrush you know like the you know the really kind of

fluffy ones and you can just once it's dry I can just brush away any of the

excess Prisma glitter the sentiment today comes from the Your're Koalafied

stamp set and I've just stamped a hot pink surprise

and cut out with a speech bubble and that's my finished card for today thanks

went to see one of the big shows that people like Nero put on they would have

for example floats circling the Colosseum all full of slave girls from

distant parts of the Mediterranean with Garland it with flowers and waving at

the crowd and going innocently around in the next minute they would release wild

lions into the arena to eat up all the slave girls they got a big sadistic kick

out of that because you see pursuing pleasure beyond a certain place takes

you in to what are the Buddhists call the Naraka world that is to say the

hell's when you have explored pleasure to its ultimate limit the only thing you

can get a kick out of is pain so naturally you descend from the devil

world at the top of the wheel to the Naraka world at the bottom where it

shows all these beings in in states of torture now of course did the priests

say when they're bringing up children if you do bad things you will end up in the

hell world but this is a very inadequate way of showing how one gets to the hell

world you get to the hell world as a result of not knowing what you want

as a result of thoughtless pursuit of pleasure which ends you eventually in

the pursuit of pain so when you're in the hell well that's where you want to

be

Types of Business Organization in North Carolina - Starting a Business in North Carolina - Duration: 9:14.

Welcome to this video on the Types of Business Organization in North Carolina, presented

by StartingYourBusiness.com.

This video is a part of our series of videos on starting a business in North Carolina.

Choosing the way your business is legally organized and structured is a fundamental

step of starting a business and one to start thinking about early because it impacts the

process of naming the business, applying for licenses and permits, and how the business

is taxed.

The business organization is the legal framework of an entity that is engaged in commercial

activity.

There are four primary types of business organization that a small business owner will choose from

which include the sole proprietorship, partnership, corporation or LLC.

Each entity has its own set of pros and cons and each has some considerations that may

make one better than another for you and your business.

The considerations include the cost of forming the entity, liability protection, ability

to get investment, tax burden, administrative requirements and the complexity of formation.

It can be a little overwhelming and confusing to pick the perfect entity for your business,

but keep in mind, that the entity you choose today does not have to be a forever decision

as you can change to a different entity later on.

The first entity that we will cover is also the most simple, which is the sole proprietorship.

The sole proprietorship is basically an individual who decides to go into business for themselves.

There is no separate legal entity as the business is tied to an individual, making the business

and the individual the same legally.

Since there is no state filing for the sole proprietorship, a major pro for this entity

is that it is easy, fast and inexpensive to form.

There is no sharing ownership, which means there is no board of directors or shareholders

to be responsible to and the taxation is relatively simple as the profits or losses flow to the

owner's personal tax return.

While there are several upsides to the sole proprietorship there are several downsides

and the biggest is unlimited liability and here's why.

Since the business and the owner are considered the same legally, should the business get

sued, the owner's personal assets are potentially at risk.

The risk of being a sole proprietorship really goes up if the owner has significant personal

assets or has employees who could cause the business to get sued.

There is also limited access to capital.

This just means that unlike the partnership, corporation or LLC, there aren't other people

that you can have invest in the business.

Last, the sole proprietorship has a limited life, so if the owner passes away or decides

to get out of business, that business essentially ceases to exist.

This isn't a major concern for many businesses, but if there are contracts or licenses that

the business relies on, the sole proprietorship may not be the best choice.

Forming a sole proprietorship is pretty simple.

Since there is no official state filing, you can decide to go into business right away

as a sole proprietorship and be in business.

StartingYourBusiness.com that may have to be done like registering a business name and

applying for licenses and tax numbers.

The next entity is the partnership, which is a business owned by two or more individuals.

The partnership is very similar to the sole proprietorship in that there is no legal entity

and the owners have unlimited liability.

The good things about the partnership are that it is easy, fast and inexpensive to set

up with no filing or fees with the state.

There are also more people involved which means there is more talent and funds to put

into the business.

Like the sole proprietorship there are significant downsides with the primary one being unlimited

liability, but this time, if one partner makes a bad business decision, every other partner's

personal assets are at risk, making the partnership riskier than the sole proprietorship.

Another partnership con includes sharing of control.

Since partnerships are usually informal and very little is in writing, disagreements can

occur that can be devastating to the business.

A partnership can also be difficult to get out of, should the remaining partner not be

willing to buy out the departing partner.

Just like the sole proprietorship there is no official filing for a partnership with

the state.

The corporation is the third of the four business entities and is completely different from

the sole proprietorship or partnership because now we have a legal entity that is separate

from the owners.

While the corporation sounds like it is something for a large business, it is really just a

filing with the North Carolina Secretary of State.

Corporations can be owned by a single owner or multiple owners.

The corporation has several pros and the most important pro is that a corporation is a distinct

legal entity and the owner's personal assets are separate from the business assets.

This is useful because if the business is sued, the owner's personal assets are typically

safe.

There may be some tax benefits but the primary benefit of a corporation or LLC for that matter

is the liability protection.

Another pro is that the corporation has unlimited life which could be useful in situations where

there are key contracts or licenses that would benefit from continuity between owners.

The corporation can also sell shares of the business and raise money from investors instead

of relying only on debt like a sole proprietorship or partnership.

There are a few downsides of the corporation which include the cost of formation and increased

administration.

The corporation costs $125 to file the Articles of Incorporation in North Carolina.

In addition, there are a number of administrative duties such as an initial board of directors

meeting, shareholders meeting, taking minutes at the meeting, issuing stock certificates

and writing the bylaws.

There are three ways to form a corporation in North Carolina.

One, you can do it yourself.

On the North Carolina Secretary of State's website, you will fill out and file the Articles

of Incorporation.

Since there are a number of administrative duties that need to be done right, if you

plan to do it yourself, be sure to do your research before filing.

Second you can hire online companies that specialize with forming business entities.

What's nice with these services is that in addition to making sure all of the legalities

of forming the corporation are covered they also send alerts whenever reports are due,

so you have one less thing to try and remember.

The one-time fees for these services usually start around $50-$150 plus the state fees.

Last you can hire an attorney.

This is going to be the most personalized service, but also the costliest.

You will want to go this route if you want to work one-on-one with someone to form the

corporation.

Expect to spend a minimum of $500-$1,000, plus state fees for a simple corporation.

The last entity that we will talk about is the Limited Liability Company or LLC.

Just like the corporation, the LLC is a legal entity that is separate from its owners and

is a filing with the North Carolina Secretary of State's office.

LLCs can be owned by a single owner or multiple owners.

The LLC costs $125 to file the Articles of Organization with the Secretary of State.

The LLC shares all of the pros of the corporation like being a separate legal entity, unlimited

life, and raising investment capital, but with the LLC, you don't have to hold meetings,

take minutes, and so on, making the LLC much easier to run than the corporation.

Besides the cost of filing the LLC another potential downside is that every state has

its own set of LLC laws so if you have a North Carolina LLC physically doing business in

another state, the LLC may not be the best entity for your business.

The process of forming an LLC in North Carolina is similar to forming a corporation.

You can do it yourself by filing Articles of Organization or you can get guidance from

a professional to make sure it's done right.
